  • Aggregator Collapse (2023–2024): By 2024, the market contracted dramatically, with major players like Thrasio declaring bankruptcy and others offloading brands at steep discounts. Total new money raised dropped to $4 billion in 2023, marking the end of the aggressive acquisition era.

Current Market Dynamics:

  1. Bifurcation of the Market:

    • Growing Businesses: Attract multiple offers and premium pricing, often above asking price, driven by pent-up buyer demand and reduced access to capital in prior years.

    • Declining Businesses: Struggle to secure offers or face lowball deals with complex financing structures, reflecting the high-risk perception.

  2. Shift in Deal Structures:

    • Increase in all-cash transactions indicates higher buyer confidence and liquidity.
